("SSU") on December 14, 2021, pursuant to a Business Combination Agreement dated June 10, 2021, the Class B Ordinary Shares, par value $0.0001 per share, of the Issuer held by the Reporting Person were exchanged for Ordinary Shares, nominal value 0.12 per share, of SSU, as described under the headings "The Business Combination" and "The Business Combination Agreement and Ancillary Documents" in the registration statement filed by SSU on Form F-4 (File No. 333-257685). Upon consummation of the Business Combination the Reporting Person is no longer subject to the reporting requirements of Section 16 with respect to the Issuer's securities.
F2	The securities reported herein were held by Yucaipa Acquisition Manager, LLC (the "Sponsor"). The reporting person controls the Sponsor, and as such has voting and investment discretion with respect to the securities held by the the Sponsor and may be deemed to have beneficial ownership of the securities held directly by the Sponsor. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the inclusion of these securities in this report shall not be deemed an admission of beneficial ownership of all of the reported securities for purposes of Section 16 or for any other purpose.
