Issuer acquired Blackthorn Therapeutics, Inc. and agreed to pay in cash or in stock, at Issuer's discretion, to former stockholders of BlackThorn Therapeutics upon satisfaction of contractual milestones. Shares were received without any action by the Reporting Person. No additional consideration was paid for the shares.
