The reporting person is a member and holds a non-controlling interest in Springwater Promote LLC, the Issuer's sponsor (the "Sponsor"), which beneficially owns 4,312,500 shares of the Issuer's common stock. The Sponsor is controlled by Martin Gruschka, a Director and the Chief Executive Officer of the Issuer, Ignacio Casanova, a Director and the Chief Financial Officer of the Issuer, and Angel Pendas, a Director and the Secretary of the Issuer. The reporting person disclaims any beneficial ownership of the securities held by the Sponsor except to the extent of any pecuniary interest therein.
