(the "Company"), under the Company's 2020 Long-Term Incentive Plan, as amended, one-fifth of which will vest and be delivered to Mr. Cohen on each of January 31, 2023, January 31, 2024, January 31, 2025, January 31, 2026 and January 31, 2027.
