F1 Represents an award of restricted stock units granted under the Aersale Corporation 2020 Equity Incentive Plan, as amended (the "Plan"), that will vest in one-third increments on each of June 7, 2025, June 7, 2026, and June 7, 2027.
F2 Represents shares of common stock of the Issuer held by Enarey, L.P. ("Enarey"). The reporting person is the sole member and manager of Enarey, LLC, which is the sole general partner of Enarey. Accordingly, all of the shares held by Enarey may be deemed to be beneficially held by the reporting person.
