F1 Each share is represented by a Restricted Stock Unit ("RSU"). The RSUs will vest quarterly over a three year period, in each case subject to the Reporting Person continuing to be a Service Provider through each applicable vesting date.
F2 Includes previously reported RSUs.
F3 Each Performance-based Restricted Stock Unit ("PSU") represents one share of Class A Common stock.
F4 The Performance Period for the PSUs covers the period from the grant date through the 3rd anniversary of the grant date. The award vests for achievement of stock price targets using a 90-calendar day volume-weighted average price ("VWAP"), which must be achieved during the 3-year Performance Period.
